1.Introduction
These terms and conditions ("Promotion Terms") apply to The Arch Company’s Rent-Free Expansion Promotion (the "Promotion").
The Promotion is made available by The Arch Company Properties Limited, whose registered office is at 6th Floor, Watling House, 33 Cannon Street, London EC4M 5SB ("The Arch Company", "we", "us"). In these Promotion Terms, "You" means the existing customer of The Arch Company who wishes to take up the Promotion.
2. Eligibility for the Promotion
The Promotion is available to existing customers of The Arch Company who have a current occupation agreement, and who are not in arrears or otherwise in breach of their existing occupation agreement(s).
3. Scope of Promotion
In order to obtain the Promotion, You must enter into a new occupation agreement with The Arch Company within the applicable promotion period which meets one of the following criteria (a “Qualifying Occupation Agreement”):
- the new occupation agreement relates to a property (a “New Property”) in addition to the property covered by Your existing occupation agreement; or
- You surrender Your occupation agreement for Your existing property and the new occupation agreement relates to a larger replacement property (a “Replacement Property”).
The Promotion allows a rent-free period for Qualifying Occupation Agreements from completion until 31 December 2026 (the "Promotion Rent Free Period") for, as applicable:
- the entire New Property; or
- the additional floorspace in the Replacement Property, when compared to the floorspace of Your original property.
By way of example for (b) in relation to a Replacement Property, if the original property had a floorspace of 1,000 sq ft and the Replacement Property is 1,500 sq ft, the rent-free period shall relate to the additional 500 sq ft. The rent-free calculation shall be based on the percentage that the additional floorspace represents of the total floorspace of the Replacement Property. Accordingly, in this example, 500 sq ft is 33.3% of 1,500 sq ft, and therefore the rent-free period shall apply to 33.3% of the total rent for the Replacement Property.
4. Promotion Period
The Promotion applies to new Qualifying Occupation Agreements entered between 1 June 2026 and 30 November 2026 (the “Promotion Period”), provided that negotiations commenced during the Promotion Period. The Promotion may also be applied, at our discretion, to ongoing negotiations that pre-date the Promotion Period.
We reserve the right to withdraw or amend the Promotion at any time prior to the end of the Promotion Period.
5. Additional Terms and Conditions
The application of the Promotion is conditional upon completion of a new Qualifying Occupation Agreement within the Promotion Period. These Promotion Terms are an invitation to treat and do not constitute an offer to grant a tenancy, occupation agreement or any other interest in land, nor do they give rise to any standalone rights or benefits.
The grant of any new occupation agreement and the availability of the Promotion are strictly subject to the availability of the New Property or a Replacement Property (as applicable) and The Arch Company’s standard onboarding, approval, financial, compliance and due diligence processes.
Unless expressly agreed otherwise by The Arch Company in writing, except for the rent-free period, all other standard commercial terms shall apply to the Qualifying Occupation Agreement, such as rent, rent review, termination rights, break options, deposit, service charge and dilapidations.
If You agree another rent-free period or incentive in Your Qualifying Occupation Agreement (an "Additional Rent Free Period"), the Additional Rent Free Period will commence as set out in Your Qualifying Occupation Agreement. Typically, this will mean that the Promotion Rent Free Period will be carried over to commence immediately following expiry of the Additional Rent Free Period.
Nothing in these Promotion Terms shall affect Your existing obligations and arrangements under Your existing occupation agreement(s). If we agree that You may surrender Your existing occupation agreement and enter into a Qualifying Occupation Agreement for a Replacement Property, You will remain liable under Your existing occupation agreement(s) for matters arising up to and including the date of surrender, including Your obligations in relation to arrears and deposit replenishment.
6. General
The Promotion is not transferable to any third party.
If there is any conflict between these Promotion Terms and Your Qualifying Occupation Agreement, Your Qualifying Occupation Agreement shall prevail.
These Promotion Terms (including any non-contractual disputes or claims arising out of them) are governed by English law. Any disputes must be referred to the English courts.
